Terms of Service

If you do not agree, do not use the service. If you use the service on behalf of an organization, you represent that you have authority to bind that organization.

ReelKoala helps street photographers capture short clips, generate stylized reels, and share a client link. Clients may view a limited preview and pay to unlock full-quality playback and download on the same link. We provide tools, hosting, rendering, and payment facilitation. We are not a party to the photographer–client creative relationship beyond what these Terms describe.

For unlock purchases, Your Company Name s.r.o. is the merchant of record: the client pays us. After a successful payment we may pay the photographer a net amount through Stripe Connect after our platform fee.

Photographers must be legally able to enter a contract and complete any required identity or payout onboarding (including Stripe Connect). You are responsible for safeguarding credentials and for activity under your account. Provide accurate information and keep it updated.

Unlock payments are processed by Stripe. Photographers who want payouts must complete Connect onboarding and keep their payout account in good standing. Payout timing, holds, and eligibility follow Stripe’s rules and our operational processes. You are responsible for your own taxes and reporting related to earnings.

We may delay, reverse, or withhold payouts where required for fraud prevention, chargebacks, legal compliance, or Terms violations.

As a photographer you represent and warrant that:

• You have all rights needed to upload clips and authorize us to process, encode, store, host, and deliver reels to clients.
• You obtained any required consents, releases, and permissions from people filmed and for locations where filming is restricted.
• Content is lawful and does not include child sexual abuse material, non-consensual intimate imagery, extreme violence used to harm, hate content intended to attack protected groups, malware, or other illegal material.
• You will not use the service to harass, defraud, or infringe others’ rights.

You remain solely responsible for your shoots, client relationships, and content. We may remove content or suspend accounts that appear to violate these Terms or applicable law.

Before payment, preview access may be intentionally limited (including blurred or lower-quality output). After a successful unlock payment, you receive a personal, non-exclusive, non-transferable license to view and download the unlocked reel for personal use.

• You may not resell, sublicense, publicly re-host, or commercially redistribute the reel unless the photographer separately agrees in writing.
• The public link may remain available; availability is not guaranteed forever (storage failures, abuse, or legal takedowns may affect access).
• Unlock does not transfer copyright ownership of the underlying footage or music templates.

Photographers retain ownership of their original footage subject to the licenses granted here. You grant us a worldwide license to use uploaded media to operate ReelKoala (including rendering, storage, delivery, support, and security). Platform branding, software, and design remain ours. Music templates and third-party assets remain subject to their own rights and restrictions.

Unlock prices and platform fees are shown at checkout or configured in the product. Digital unlocks are generally non-refundable once delivered, except where mandatory consumer law requires otherwise or we choose to refund (for example clear technical failure preventing access after payment). Chargebacks filed in bad faith may lead to account restrictions.

You may not:

• Reverse engineer or disrupt the service except as allowed by law
• Scrape or harvest data at abusive scale
• Circumvent unlock, paywalls, or access controls
• Misrepresent affiliation with ReelKoala
• Use the service for illegal surveillance or exploitation

The service is provided “as is” and “as available.” We do not guarantee uninterrupted uptime, render success in every case, client purchases, specific creative outcomes, or that public links will remain online forever. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Your Company Name s.r.o. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from the service or these Terms. Our aggregate liability for claims relating to the service is limited to the greater of (a) fees you paid us for the unlock or services giving rise to the claim in the 12 months before the claim, or (b) EUR 100.

Photographers agree to indemnify and hold us harmless from claims, damages, and costs (including reasonable legal fees) arising from their content, shoots, failure to obtain consents/releases, infringement claims, or violation of these Terms or law — except to the extent caused by our willful misconduct.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (including for death or personal injury caused by negligence where such exclusion is forbidden).

You may stop using the service at any time. We may suspend or terminate access, remove content, or withhold payouts if we reasonably believe you violated these Terms, create risk, or if required by law or Stripe. Provisions that by nature should survive (including IP licenses already granted for delivered unlocks, disclaimers, indemnity, and liability limits) survive termination.

We may update these Terms. We will post the updated version with a new effective date. Continued use after changes become effective constitutes acceptance, except where mandatory law requires additional consent.

These Terms are governed by the laws of the Slovak Republic, without regard to conflict-of-law rules. Courts of the Slovak Republic have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived.
